Corporate and Legal Support Officer

CONTACT is recruiting a Corporate and Legal Support Officer, to be based in Afungi, Cabo Delgado, Mozambique.
Duties
  • Supporting the legal and corporate secretarial function of the Company, the corporate and legal support officer will be responsable of Assist lawyers in planning and preparing meetings of the corporate bodies of the Company and its Special Purpose Entities, prepare draft resolutions and supporting reports with input from the relevant functions, draft and circulate minutes, enter them in the corporate books and collect signatures;
  • Track the terms of office of directors and statutory auditors, and the renewal dates of powers of attorney, licences and registrations;
  • Maintain and verify corporate data: shareholder identity, shareholdings, registered office, share capital;
  • Handle formalities for ordinary and extraordinary decisions, including notarisation;
  • Support the preparation of delegations of powers and signature authority;
  • Keep the entity records up to date in the Group database and prepare the related reporting and data extractions;
  • Assist lawyers on initial drafts of routine documents - letters, notices, internal notes, etc - for review by the responsible lawyer;
  • Assist lawyers in legal research and present findings in short written summaries, with sources;
  • Assist lawyers in contract execution end to end: signature packs, verification of signing authority, collection of counterparts, legalisation where required, and distribution of executed originals;
  • Maintain the department's matter tracker - deadlines, pending actions, status of instructions to external counsel - and flag what is falling due;
  • Coordinate scheduling and confirmation of internal and external meetings for the department;
  • Propose changes / improvements, and ensure deployment, to the Legal Department's document management system;
  • Administer the Legal Department's document management system: filing, registration, classification, version control, access rights and retrieval, with full traceability;
  • Contribute to the digitalisation of the legal function, including electronic signature and contract management tools Hold custody of executed originals and corporate books; manage incoming and outgoing legal correspondence and the corresponding records;
  • Monitor applicable legislation and regulatory developments and keep the department's legal databases current;
  • Apply the Company's confidentiality, data protection and retention rules, and give effect to legal hold instructions when issued.
Requisites
  • Degree in Law, Administration and Management or similar, from a recognized university;
  • Experience in data management;
  • 3+ years of relevant experience in a legal department, law firm, corporate governance or similar environment. Strong recent graduates will also be considered;
  • Comfortable with Microsoft Office and document or contract management systems, and interested in contributing to digitalisation projects;
  • Working knowledge of Mozambican corporate and notarial formalities;
  • Fluent Portuguese and English, with the ability to draft in both. French an advantage;
  • Rigorous, reliable and well organised, with strong drafting ability and the discipline to manage volume and competing deadlines;
  • Mozambican Nationality.
